When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for:

• All activities that occur under your account
• Immediately notifying us of any unauthorized use

5. Acceptable Use Policy

Availability

We strive to maintain 99.9% uptime for our services, excluding scheduled maintenance periods.

Support

• Business hours: Monday to Friday, 9 AM - 6 PM (local time)
• Response time for critical issues: Within 4 hours
• Response time for general inquiries: Within 24 hours
• Emergency support available for critical systems

7. Payment Terms

Pricing and Billing

• All prices are quoted in EUR and exclude applicable taxes
• Payment terms are typically 30 days net unless otherwise agreed
• Late payments may incur interest charges of 1.5% per month
• We reserve the right to suspend services for overdue accounts

Refund Policy

Refunds are considered on a case-by-case basis. Custom development work is generally non-refundable once commenced. Recurring service fees may be prorated for early cancellation.

8. Intellectual Property Rights

Our Intellectual Property

The service and its original content, features, and functionality are and will remain the exclusive property of Ruviate and its licensors. The service is protected by copyright, trademark, and other laws.

Client Content and Data

You retain all rights to your content and data. By using our services, you grant us a license to use, modify, and display your content solely for the purpose of providing our services.

Work Product

Upon full payment, you will own the custom work product created specifically for you. We retain rights to general methodologies, know-how, and reusable components.

9. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of our services, to understand our practices regarding the collection and use of your personal data.

10. Disclaimers and Limitation of Liability

Service Disclaimers

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

In no event shall Ruviate, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

11. Indemnification

You agree to defend, indemnify, and hold harmless Ruviate and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees).

12. Termination

Termination by Either Party

Either party may terminate this agreement with 30 days written notice. Upon termination:

• All outstanding fees become immediately due
• We will provide reasonable assistance for data migration
• Access to our services will be discontinued
• Confidentiality obligations survive termination

Immediate Termination

We may terminate or suspend access immediately, without prior notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties.

13. Force Majeure

We shall not be liable for any failure or delay in performance under this agreement which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

14. Governing Law and Jurisdiction

These terms shall be interpreted and governed by the laws of the European Union and the jurisdiction where Ruviate is established. Any disputes arising from these terms will be resolved through the courts of competent jurisdiction in that location.

15. Dispute Resolution

Mediation

We encourage resolving disputes through direct communication. If unsuccessful, we agree to participate in mediation before pursuing litigation.

Consumer Rights

Nothing in these terms affects your statutory rights as a consumer under applicable EU consumer protection laws.

16. Changes to Terms

We reserve the right to modify or replace these terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. Your continued use of our services after such modifications constitutes acceptance of the new terms.

17. Severability

If any provision of these terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

18. Entire Agreement

These terms constitute the entire agreement between you and Ruviate regarding your use of our services and supersede all prior and contemporaneous written or oral agreements between you and Ruviate.
